Organizing a North Dakota LLC
A limited liability company is organized in North Dakota by submitting the completed Articles of Organization, and paying the filing fee to the North Dakota Secretary of State, Business Division. Submit the articles by mail, fax or in person. The filing fee is $135. Include the Credit Card Payment Authorization form with ND fax filings. North Dakota takes two to three weeks to process the articles.
ND PLLCs must draft their own articles from the statute (NDCC §§ 10-31-02.1 and 10-32-07) and include the completed Certificate of Professional License form with the $135 fee.
Qualification of a Foreign LLC in North Dakota
Register your foreign LLC to do business in North Dakota by filing the Certificate of Authority Foreign Limited Liability Company Application with the ND Secretary of State by mail, fax or in person.
