The Certficate of Formation must include: (1) the name of the limited liability company (the name must include the words “Limited Liability Company” or the abbreviation “LLC” or “L.L.C.”); (2) the future effective date, if applicable, not to exceed 90 days from the date of filing of the Certificate of Formation (the filing will be effective as of the actual date filed, unless a future effective date is indicated); (3) the Federal Tax ID (the 9 digit number used to report taxes to the IRS); (4) name and address of the LLC’s registered agent; (5) dissolution date; (6) an indication whether management of the limited liability company is vested in a manager; and (7) any additional matters relevant to the formation of the limited liability company. The document must be signed by the individual or individuals forming the limited liability company and, for each signatory, must include their full street address and mailing address.
