A limited liability company is formed in Minnesota by submitting the Articles of Organization and paying the filing fee to the Office of the Minnesota Secretary of State. Submit the articles by mail, in person or online. When filing by mail, pay a $135 filing fee. In person and online submissions pay $155 filing fee to include an expedited handling fee.

Professional LLCs must attach a copy of all professional licenses of the members.

Qualification of a Foreign LLC in Minnesota

Register your foreign LLC to do business in Minnesota by filing the Certificate of Authority to Transact Business in Minnesota with the Secretary of State, Business Services by mail, in person or online. The filing fee is $205 for in-person and online filing. The filing fee if $185 is submitted by mail. Minnesota does not require a home state certificate of good standing.
