Organizing an Illinois LLC

An Illinois limited liability company is formed by submitting in duplicate the Certificate of Organization for Limited Liability Company, LLC-5.5 and paying the filing fee to Illinois Secretary of State, Department of Business Services. Submit the form in by mail, fax, in person or online. The filing fee is $150. Fax filing is allowed with a pre-paid account only. All LLCs processed online will be filed on an expedited basis with an additional $100. Expedited processing is reviewed in four or five days. Standard processing is finished in approximately three weeks.

Illinois Series LLC

Illinois permits the organization of “Series LLC,” which has the ability to create within itself separate cells that have their own interests, liabilities and members. An example would be a company that owns several rental properties. This can separate the various properties into separate series, thus segregating the liabilities. Submit in duplicate the completed Articles of Organization, LLC-5.5(S) with the $400 filing fee.

Qualification of a Foreign LLC in Illinois

Register your foreign LLC to do business in Illinois by filing in duplicate the Application for Admission to Transact Business with the Illinois Secretary of State, Department of Business Services by mail, in person or online with the $150 filing fee. Also, attach a certified copy of the articles of organization, any amendments and a certificate of good standing or existence, authenticated within 60 days, by an officer of the state wherein the LLC is formed.
