A Delaware limited liability company is formed by filing Certificate of Formation and paying the filing fee to Delaware Department of State, Division of Corporations. Submit the form by mail, online, in person or by fax. Include the Document Filing Cover Sheet. The filing fee is $110. Standard processing will be completed in 10 to 15 business days. Delaware offers 24-hour expedited processing for an additional $50.

Qualification of a Foreign LLC in Delaware

In order to register do business in Delaware, submit the Certificate of Registration of Foreign Limited Liability Company with the Delaware Department of State by mail, in person or fax. Pay the $200 filing fee for standard processing. Attach a Certificate of Good Standing or a Certificate of Existence from the jurisdiction of formation. It must be current within six months.
